1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and White Town LLC, a Wyoming limited liability company operating the Gostify platform ("Company," "we," "us," or "our"), governing your access to and use of the Gostify software-as-a-service platform, including the website located at https://www.gostify.app/, all associated subdomains, APIs, mobile-compatible interfaces, AI assistant tools, analytics features, and any related services (collectively, the "Service" or "Platform").
By creating an account, accessing the Platform, completing the onboarding process, submitting payment information, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.
If you are accepting these Terms on behalf of a legal entity such as a company, partnership, or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "Customer" shall refer to that entity.
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on the Platform at least fourteen (14) days prior to the effective date of such changes. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" or "Service" means the Gostify software-as-a-service application, including all features, tools, AI assistant functionality, analytics, subdomains, APIs, and related services provided by White Town LLC.
- "Customer" or "User" means any individual or legal entity that registers for and uses the Service, including property owners, managers, hosts, and operators of short-term rental accommodations.
- "Guest" means any third-party individual who interacts with the AI assistant deployed through the Platform on behalf of a Customer. Guests are not parties to these Terms.
- "Customer Content" means all data, information, text, questions, answers, property descriptions, amenity details, and other materials submitted by the Customer to configure and operate their AI assistant on the Platform.
- "Guest Data" means any information submitted or generated by a Guest during interaction with a Customer\'s AI assistant, including questions, session data, and usage metadata.
- "Subscription" means the recurring paid plan selected by the Customer that grants access to the Service for a defined billing period.
- "Subdomain" means the unique URL assigned to a Customer in the format name.gostify.app.
- "AI Assistant" means the artificial intelligence-powered chatbot configured by the Customer and made available to Guests via a unique link or QR code.
- "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, database rights, and any other proprietary rights recognized in any jurisdiction.
- "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
3. Eligibility and Account Registration
To use the Service, you must: (a) be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) have the legal capacity and authority to enter into binding contracts; (c) not be a person barred from using the Service under applicable laws; and (d) provide accurate, complete, and current registration information.
You agree to maintain the confidentiality of your account credentials and are solely responsible for all activities that occur under your account. You must notify us immediately at info@gostify.app if you become aware of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
You may not create more than one account per legal entity without our prior written consent. We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including if we determine that the information provided is inaccurate, misleading, or violates these Terms.
You are responsible for ensuring that your use of the Service, and the use by your Guests, complies with all applicable local, national, and international laws and regulations, including those governing short-term rental accommodations in your jurisdiction.
4. Description of the Service
Gostify is a software-as-a-service platform that enables Customers to create and deploy AI-powered chatbot assistants for their short-term rental properties, including apartments, villas, and properties listed on platforms such as Airbnb and Booking.com. The Service allows Customers to configure an AI assistant with property-specific information and make it available to Guests via a unique subdomain link and QR code.
4.1 Core Features
The Service includes the following core features as part of the active Subscription:
- AI-powered automated guest messaging available 24 hours per day, 7 days per week
- Multilingual response capability, with the AI responding in the language detected from the Guest\'s query
- Unlimited guest messages within the scope of normal use as described in Section 5
- Analytics dashboard providing data on message volume, session counts, and active user statistics
- Customizable brand presentation including chat color and welcome message configuration
- Unique subdomain assignment in the format name.gostify.app
- QR code generation for physical placement at the accommodation
- Mobile-responsive interface compatible with all major devices and browsers
4.2 Setup Process
The Service is designed for rapid deployment. Customers complete a structured four-step onboarding process: entering basic property and contact information; describing the property including amenities and frequently asked questions; configuring the AI assistant including welcome language and visual branding; and submitting the configuration for activation. The Company aims to activate the Customer\'s AI assistant within twenty-four (24) hours of submission, though this timeline is not guaranteed and may vary depending on volume and technical factors.
4.3 Service Availability
We strive to maintain high availability of the Platform. However, we do not guarantee uninterrupted, error-free, or entirely secure access to the Service. Scheduled maintenance, emergency repairs, third-party service disruptions (including the AI model provider), or events beyond our control may cause temporary unavailability. We will make reasonable efforts to notify Customers of planned maintenance in advance.
4.4 AI Functionality and Limitations
The AI assistant is powered by third-party artificial intelligence technology. Responses generated by the AI are automated and may not always be accurate, complete, or appropriate for every situation. The AI is configured based on information provided by the Customer and cannot access real-time external data unless such integration is explicitly provided. Customers are solely responsible for the accuracy of the information they configure into the assistant and for the appropriateness of AI-generated responses provided to their Guests.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are expressly prohibited:
5.1 Prohibited Content
- Uploading, configuring, or transmitting content that is unlawful, defamatory, obscene, fraudulent, threatening, abusive, harassing, or otherwise objectionable
- Providing false, misleading, or deceptive information to Guests through the AI assistant
- Configuring the AI assistant to facilitate illegal activities, including unlicensed commercial accommodation, tax evasion, or violations of local short-term rental regulations
- Collecting, processing, or soliciting sensitive personal information from Guests through the AI assistant, including payment card details, government identification numbers, passwords, or health data
- Using the AI assistant for purposes other than legitimate guest communication related to the Customer\'s accommodation property
5.2 Prohibited Technical Use
- Attempting to gain unauthorized access to any part of the Service, other user accounts, or backend systems
- Reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Platform
- Using automated scripts, bots, or crawlers to access, scrape, or collect data from the Platform beyond normal Service use
- Introducing viruses, malware, or any other harmful code into the Platform
- Overloading, disrupting, or impairing the proper functioning of the Platform or related infrastructure
- Circumventing or disabling any security features, access controls, or technical restrictions of the Service
5.3 Usage Limits
The Service includes unlimited messages as a feature of the current Subscription plan. However, use that materially exceeds normal patterns for a single accommodation property, or that appears to be abusive, commercial exploitation, or systematic testing beyond normal operational use, may be subject to review and remediation, including temporary rate limiting or account suspension. We reserve the right to define and update reasonable usage thresholds with notice to Customers.
5.4 Responsibility for Guest Interactions
You are solely responsible for the content you configure in the AI assistant, the manner in which you distribute the assistant link and QR code to Guests, and all Guest interactions that occur through your assistant. You represent that you have obtained, or will obtain, all necessary permissions and consents from Guests as required by applicable data protection laws prior to directing Guests to use the AI assistant.
6. Subscription, Pricing, and Payment
6.1 Subscription Plans
Access to the Service requires an active paid Subscription. Current pricing and plan details are published on the Gostify website at https://www.gostify.app/ and may be updated from time to time. As of the Effective Date of these Terms, the Service is offered at a single monthly subscription rate of $9.90 USD per month, inclusive of all features described in Section 4.
6.2 Billing and Payment
Subscriptions are billed on a recurring monthly basis from the date of initial activation. Payment is processed through our third-party payment processor, Stripe, Inc. By providing your payment information, you authorize White Town LLC and its payment processor to charge the applicable Subscription fees to your designated payment method on each billing cycle until your Subscription is cancelled.
You are responsible for ensuring that your payment method remains valid and has sufficient funds or credit. Failed payments may result in suspension of your account and loss of access to the Service. We will attempt to notify you of failed payments, but are not obligated to do so prior to suspension.
6.3 Price Changes
We reserve the right to modify Subscription pricing at any time. We will provide at least thirty (30) days\' prior written notice of any price increase via email to the address associated with your account. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.
6.4 Taxes
Subscription fees are exclusive of all applicable taxes, levies, duties, or similar governmental charges, including but not limited to value-added tax (VAT), goods and services tax (GST), or sales tax. You are solely responsible for determining and remitting any such taxes applicable to your use of the Service in your jurisdiction. Where required by law, we may add applicable taxes to your invoice.
6.5 Free Trial
We may, at our sole discretion, offer a free trial period for new Customers. If a free trial is offered, the specific duration and terms will be communicated at the time of sign-up. At the conclusion of the free trial period, your Subscription will automatically convert to a paid plan unless you cancel prior to the end of the trial. You may be required to provide payment information to initiate a free trial.
7. Cancellation and Refund Policy
You may cancel your Subscription at any time through your account settings or by contacting us at info@gostify.app. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.
All Subscription fees are non-refundable except as expressly stated in our Refund and Cancellation Policy, which is incorporated into these Terms by reference. We do not provide prorated refunds for partial months of service following cancellation, except where required by applicable law.
If you believe you have been charged in error, you must contact us within thirty (30) days of the disputed charge at info@gostify.app with your account details and a description of the issue. We will review your claim and respond within a reasonable timeframe. Chargebacks initiated without first contacting us may result in permanent account termination and potential recovery of costs.
8. Intellectual Property Rights
8.1 Company Intellectual Property
The Platform, including all software, code, algorithms, AI models, user interfaces, design elements, logos, trademarks, trade names, and documentation, is owned by or licensed to White Town LLC and is protected by applicable intellectual property laws in the United States and internationally. Nothing in these Terms transfers any ownership interest in the Platform or Company intellectual property to you.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during an active Subscription period solely for the purposes set forth in these Terms. This license does not include the right to sublicense, sell, resell, transfer, assign, or otherwise exploit the Service for any purpose not expressly permitted herein.
8.2 Customer Content
You retain all ownership rights to Customer Content that you submit to the Platform, including property descriptions, FAQs, and configuration data. By submitting Customer Content to the Platform, you grant White Town LLC a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content solely as necessary to provide and improve the Service.
You represent and warrant that you have all rights, licenses, and permissions necessary to submit Customer Content to the Platform, and that such content does not infringe the intellectual property rights, privacy rights, or other rights of any third party.
8.3 Feedback
If you provide any suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, incorporate, and commercialize such Feedback without any obligation of confidentiality or compensation to you.
9. Data Privacy and Protection
Your use of the Service and our handling of personal data are governed by our Privacy Policy, available at https://www.gostify.app/, which is incorporated into these Terms by reference. By using the Service, you acknowledge and agree to the collection, use, and processing of data as described in the Privacy Policy.
In the context of data protection law, with respect to Guest Data, the Customer acts as the data controller and White Town LLC acts as a data processor. Our processing of Guest Data on your behalf is governed by our Data Processing Agreement (DPA), which forms part of these Terms and is available separately on request. Customers who are subject to the General Data Protection Regulation (GDPR) or other applicable data protection legislation are responsible for ensuring that their use of the Platform complies with such laws, including obtaining appropriate consents from Guests before directing them to interact with the AI assistant.
Customers must not configure the AI assistant to collect, solicit, or process special categories of personal data (as defined under GDPR Article 9) or sensitive personal information from Guests, including but not limited to health data, financial account details, government identification numbers, biometric data, or political opinions.
10. Third-Party Services and Integrations
The Service relies on certain third-party services, including but not limited to artificial intelligence model providers, cloud infrastructure providers, and payment processors. We are not responsible for the availability, accuracy, or reliability of third-party services. Your use of any third-party services accessed through or in connection with the Platform may be subject to separate terms and conditions imposed by those third parties.
The Platform may display or reference links to third-party websites or services, including listing platforms such as Airbnb or Booking.com. Such links are provided for informational purposes only. We do not endorse, control, or assume any responsibility for the content, privacy practices, or terms of third-party websites. Accessing third-party websites through links on the Platform is at your own risk.
We may update, replace, or discontinue the use of specific third-party services at any time without notice to you, provided that such changes do not materially reduce the core functionality of the Service.
11. Confidentiality
Each party agrees to maintain the confidentiality of the other party\'s Confidential Information using at least the same degree of care it uses to protect its own confidential information, and no less than reasonable care. Neither party shall disclose the other party\'s Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law or to the extent necessary to perform obligations under these Terms.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of or reference to the Confidential Information; or (d) is required to be disclosed by applicable law, regulation, or court order, provided the receiving party gives prompt prior written notice to the disclosing party to the extent permitted by law.
12. Disclaimers and Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WHITE TOWN LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE AI ASSISTANT WILL PROVIDE ACCURATE, COMPLETE, OR APPROPRIATE RESPONSES IN ALL CIRCUMSTANCES.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHITE TOWN LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100 USD).
12.3 Jurisdiction-Specific Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. In such jurisdictions, the exclusions and limitations in this Section shall apply to the fullest extent permitted by applicable law.
12.4 AI Response Liability
You acknowledge and agree that responses generated by the AI assistant are automated and may be incomplete, inaccurate, or contextually inappropriate. White Town LLC is not liable for any harm, loss, or inconvenience experienced by you or any Guest arising from reliance on AI-generated responses. Customers are responsible for reviewing and maintaining the accuracy of all information configured in their AI assistant and for ensuring that Guests are aware they are interacting with an automated system.
13. Indemnification
You agree to indemnify, defend, and hold harmless White Town LLC and its members, officers, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys\' fees) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) Customer Content submitted by you; (d) any interaction between your Guests and your AI assistant; (e) your violation of any applicable laws or regulations; (f) your infringement of any third-party rights, including intellectual property rights or privacy rights; or (g) any dispute between you and a Guest or third party.
We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such matter.
14. Term and Termination
14.1 Term
These Terms are effective from the date you first access or use the Service and continue in full force until your Subscription is cancelled or terminated, or until these Terms are otherwise terminated in accordance with this Section.
14.2 Termination by Customer
You may terminate your Subscription and these Terms at any time by cancelling your account as described in Section 7. Termination takes effect at the end of the current billing period. You will retain access to the Service until that date.
14.3 Termination by Company
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to: (a) your material breach of these Terms; (b) non-payment of Subscription fees; (c) conduct that we reasonably believe poses a risk to the Service, other users, or third parties; (d) conduct that we determine, in our sole discretion, to be harmful, fraudulent, or in violation of applicable law; or (e) a regulatory requirement or legal order to do so.
Where practicable, we will provide advance notice of termination. In cases involving serious violations or security threats, we may suspend or terminate your account immediately without notice.
14.4 Effect of Termination
Upon termination of your Subscription or these Terms for any reason: (a) your license to use the Service immediately ceases; (b) you must cease all use of the Platform; (c) we may delete your account and all associated Customer Content after a reasonable retention period; and (d) all provisions of these Terms that by their nature should survive termination, including Sections 8, 10, 11, 12, 13, and 15, shall survive.
Termination does not relieve you of any obligation to pay outstanding fees owed prior to the termination date.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. For Customers located within the European Union, nothing in this Section limits your rights under mandatory consumer protection laws applicable in your country of residence.
15.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party. The parties shall have thirty (30) days to attempt resolution through negotiation before pursuing other remedies.
15.3 Arbitration
If the parties are unable to resolve a dispute through negotiation, any unresolved dispute shall be submitted to binding arbitration administered in accordance with the arbitration rules of a mutually agreed arbitration body, or if no agreement is reached, under the rules of the American Arbitration Association (AAA). Arbitration shall take place in the State of Wyoming, United States. The decision of the arbitrator shall be final and binding on both parties. Each party shall bear its own costs and expenses in connection with the arbitration.
15.4 Class Action Waiver
To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against White Town LLC or its affiliates. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
15.5 EU Customers
Customers residing in the European Union may have the right to submit complaints to their local supervisory authority or to use the European Commission\'s Online Dispute Resolution (ODR) platform, available at https://ec.europa.eu/consumers/odr/.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund and Cancellation Policy, Acceptable Use Policy, Data Processing Agreement, Payment Security Policy, and Disclaimer, constitute the entire agreement between you and White Town LLC with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, if possible.
16.3 Waiver
No failure or delay by either party in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any breach or default does not constitute a waiver of any subsequent breach or default.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
16.5 Force Majeure
Neither party shall be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemics, governmental actions, war, civil unrest, infrastructure failures, or disruptions to third-party services upon which the Platform relies. The affected party shall provide prompt notice to the other party and shall use reasonable efforts to resume performance as soon as practicable.
16.6 Notices
All notices, requests, and other communications under these Terms shall be in writing and delivered by email. Notices to us shall be sent to info@gostify.app. Notices to you shall be sent to the email address associated with your account. Notices are deemed received upon delivery if no bounce-back or delivery failure is received by the sender.
16.7 Language
These Terms are written in English. Any translations provided are for convenience only. In the event of any conflict between the English version and a translation, the English version shall prevail.
16.8 Headings
Section headings in these Terms are for convenience and organizational purposes only and have no legal effect.
